1. About this agreement

1.1 This End User Licence Agreement ("Agreement") governs use of the PX-QBO data extraction software and any associated documentation ("Software") supplied by Project X Ltd ("Project X", "we", "us").

1.2 "You" means the organisation authorised by Project X to use the Software, together with its personnel. At the effective date, Project X is the only authorised user of the Software.

1.3 By installing, configuring or using the Software, or by authorising the Software to connect to a QuickBooks Online company, you accept this Agreement. If you do not accept it, do not use the Software.

1.4 The Software is not offered for sale or licence to the general public. It is internal software, made available only to Project X and to parties Project X expressly authorises in writing.

2. Licence

2.1 Project X grants you a limited, non-exclusive, non-transferable, revocable licence to use the Software for your own internal business purposes, and for no other purpose.

2.2 The licence permits you to connect the Software to QuickBooks Online companies that you own or are authorised to access, and to have the Software copy data from those companies into a data warehouse under your control.

2.3 The Software is licensed, not sold. Project X retains all right, title and interest in the Software, including all intellectual property rights in it.

3. What you may not do

You may not:

3.1 Sell, sublicense, rent, lease, distribute or otherwise make the Software available to any third party.

3.2 Use the Software to access any QuickBooks Online company you are not authorised to access.

3.3 Reverse engineer, decompile or disassemble the Software, except to the extent that applicable law expressly permits it.

3.4 Remove or obscure any proprietary notice in the Software.

3.5 Use the Software in a way that breaches your agreement with Intuit, or any applicable law.

4. The QuickBooks Online connection

This section describes how the Software interacts with QuickBooks Online.

4.1 The Software reads data. It does not write to QuickBooks Online. It retrieves accounting records through Intuit's published application programming interface and copies them to your data warehouse.

4.2 You authorise the connection yourself, using Intuit's OAuth authorisation process. The Software cannot access a QuickBooks Online company unless you have authorised it.

4.3 You may revoke that authorisation at any time, either from within QuickBooks Online or by disconnecting the Software. On revocation the Software stops retrieving data.

4.4 Intuit is not a party to this Agreement. Your use of QuickBooks Online is governed by your own agreement with Intuit. Nothing in this Agreement varies that agreement, and Project X makes no representation on Intuit's behalf.

4.5 The Software depends on Intuit's service and interface. Project X does not control either, and changes made by Intuit may affect how the Software operates.

5. Your data

5.1 Data retrieved from your QuickBooks Online company remains yours. This Agreement does not transfer ownership of it to Project X.

5.2 The Software copies that data into a data warehouse that you control. You are responsible for the security, access control and retention of data in your own warehouse.

5.3 Project X will handle any data it accesses in the course of supporting the Software in accordance with the Project X privacy policy, and will not use it for any purpose other than operating and supporting the Software.

5.4 On termination or disconnection, the Software ceases to retrieve data. Data already copied into your warehouse remains there, under your control, and it is your decision whether to retain or delete it.

5.5 Project X does not sell, rent or share data retrieved by the Software with any third party.

6. Security

6.1 Project X will apply reasonable technical and organisational measures to protect credentials and access tokens used by the Software, including storing them in a form that is not readable in plain text and restricting access to authorised personnel.

6.2 You are responsible for controlling who within your organisation may authorise, configure or operate the Software, and for revoking access when it is no longer required.

6.3 If Project X becomes aware of a security incident affecting the Software or credentials it holds, it will notify you without undue delay.

7. No warranty

7.1 The Software is provided as is and as available. To the maximum extent permitted by law, Project X excludes all warranties, conditions and representations, whether express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement.

7.2 Project X does not warrant that the Software will be uninterrupted or error free, that it will retrieve every record, or that data retrieved will be complete or accurate.

7.3 The Software is not a substitute for your accounting records. QuickBooks Online remains the authoritative source. You should not rely on data retrieved by the Software for statutory reporting, tax filing or audit without verifying it against QuickBooks Online.

8. Limitation of liability

8.1 To the maximum extent permitted by law, Project X is not liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profit, revenue, data or business, however caused.

8.2 Project X's total aggregate liability arising out of or in connection with this Agreement is limited to the amounts you paid to Project X for the Software in the twelve months preceding the event giving rise to the claim, or one hundred Canadian dollars if no amounts were paid.

8.3 Nothing in this Agreement excludes or limits liability that cannot be excluded or limited by law.

9. Term and termination

9.1 This Agreement takes effect when you first use the Software and continues until terminated.

9.2 You may terminate at any time by disconnecting the Software from QuickBooks Online and ceasing to use it.

9.3 Project X may terminate this Agreement on written notice if you breach it and do not remedy the breach within thirty days of being asked to.

9.4 On termination you must stop using the Software. Sections 5, 7, 8 and 11 survive termination.

10. Changes

10.1 Project X may update this Agreement from time to time. Material changes will be notified to you before they take effect. Continued use of the Software after that point constitutes acceptance.

11. General

11.1 Governing law. This Agreement is governed by the laws of the Province of Ontario and the federal laws of Canada applicable in that province. The courts of Ontario have exclusive jurisdiction.

11.2 Entire agreement. This Agreement is the entire agreement between the parties in relation to the Software and supersedes any prior understanding on the subject.

11.3 Severability. If any provision is held unenforceable, the remaining provisions continue in force.

11.4 No waiver. A failure to enforce any provision is not a waiver of it.

11.5 Assignment. You may not assign this Agreement without the prior written consent of Project X.
